Governance and Societal Responsibilities Organizational Governance AHWM assures responsible governance through the broad and systematic structure of the organization. The mission statement and core competencies are the foundation of governance that guides the evaluation, enhancement, and strategic planning at AH. The governance structure at AH consists of a corporate BOD, local governing BOD, and presidents. At AH, the corporate BOD enthralls all the powers and duties with respect to the direct governance of the organization. The corporate board then delegates and assigns authority to the governing BOD and president at AHWM. Elected presidents at AHWM are then overseen and take direction from the President of AH. Authority delegated to the governing BOD and president consists of planning, daily operations, quality of care, medical staff, and community involvement. At any given time, AHWM governance BOD consists of 20 members who serve a staggered two-year term. These members are selected based upon a desired skill set, community influence, community involvement, and to reflect the ethnicity and diversity of the community surrounding AHWM. These governance members have various backgrounds, such as police chiefs, school officials, local business owners, nonprofit organizations, and members of the archdiocese. Requirements to ensure that the board of governance members are fit for duty include an orientation, self-assessment, and list of conflicts. After the vetting process, councils review the outcomes to ensure balance and rhythm for the stakeholders within the organization. This diverse board of governance allows AHWM to anticipate and be proactive in legal, regulatory, and community concerns. A five-step evaluation process to measure performance effectiveness ensures that leadership is held accountable on performance goals. The five-step process involves using
performance tools, objectives, self-surveys, and organizational surveys for evaluation. This evaluation process takes place quarterly, semi-annually, and annually to improve success. In this five-step process, the CEO, corporate BOD, governing BOD, and regional Presidents head the evaluations. At AHWM, evaluations consider achieved goals, finances, quality, strategic plans, organizational satisfaction rates, and weaknesses. Once evaluated and gauged on effectiveness, opportunities for improvement are identified. These identified opportunities help improve areas of weakness and drive the development of new action plans. With the use of both internal and external evaluation processes, the governance structure at AHWM enables its leaders with processes to improve performance, clarity, and skills of its employees. Overall, the structure of governance at AHWM has laid the groundwork for an astounding community-beneficial healthcare environment. Legal and Ethical Behavior AHWM has created several processes to uphold, address, and proactively treat legal, ethical, regulatory, and community concerns. In order to adhere to this process, AHWM created a formal code of ethics aimed at promoting the wellbeing of the patients, employees, and organization. To aid in the legal and ethical behavior at AHWM, the organization also created boards on community wellbeing, patient experience, regulatory requirements, and legal matters. Regarding legal and ethical behavior in the organization, AHWM created a regulatory committee and adopted a formal code of conduct to prevent violations and ensure adherence to policies, regulations, and procedures. The legal board requires all employees and third-party suppliers to be screened, complete compliance training, and sign commitment forms to ensure all abide by the organizational code of conduct. If misconduct is suspected or violations are found, the board encourages and states that it is the responsibility of that employee or third-party
