Sarbanes Oxley Act, 2002:
Sarbanes Oxley act, 2002 provides accounting guidelines to prevent fraudulent and misrepresentation in accounting practices performed in an organization. This act is enforced to provide protection to their investors or shareholders. This act fulfils corporate responsibility by disclosing facts related to financial reporting.
Section 302 and Section 404 of SOX, 2002 are discussed in the given chapter which is as follows:
- Section 302 defines that the higher authority is responsible for certifying their annually or quarterly prepared financial or other reports to ensure accuracy. In short, it deals with disclosure control of financial reporting process. In accordance with this act, the management should provide disclosure of all the material changes.
- Section 404 deals with the assessment of internal control. In this section, it is described that it is mandatory for all the public companies to assess the effectiveness of their internal control of financial reporting process.
