Describe Corporate Gvernance?

Expert Solution
Step 1

Corporate governance is the set of rules, procedures, and processes that guide and control a firm. Corporate governance relates to how and for what purpose firms are governed. It establishes who has power and accountability, as well as who makes decisions.

Corporate governance is important to investors because it demonstrates a company's direction and business integrity. Good corporate governance enables businesses to create confidence with their investors and the community. As a result, corporate governance promotes financial viability by providing market players with a long-term investment opportunity.

However, for corporate governance to be effective, the following principles must be followed:

  • Shareholder recognition - Good corporate governance recognizes all of the company's stakeholders. Employees, suppliers, customers, creditors, and investors are all included.
  • Shareholders are treated equally - In addition to acknowledging shareholders, corporate governance should treat them fairly. This could include including them in crucial business decisions.
  • The board's roles are clearly defined – Each member of the board of governors is responsible for a specific function. The composition and functions of the board of directors should be clearly defined in corporate governance.
  • Ethical behavior - At the heart of a good company, governance should be honesty and ethics. Everyone in the organization must operate ethically and adhere to a strict code of conduct when carrying out their duties.
  • Transparency - Gaining the trust of shareholders requires a high level of transparency. Stakeholders should have unrestricted access to resources such as financial records under corporate governance.
