Your progress and advancement in business have provided you with an opportunity to develop
your company. You are very eager about this possibility, and you begin to review some of the
potential legal structures (such as sole proprietorship, limited liability company, or corporation)
that the new organization may utilize. A partnership seems to be an excellent option, especially
because you are aware of others who may be interested in developing and/or supporting this
venture.
As you begin your research, you recall the distinctions between limited and general partnerships.
You decide to prepare an executive summary about the duties and the responsibilities of each,
addressing both legal and ethical perspectives. You are writing this content now with the
expectation that it may be shared with future investors and/or potential partners. If a partnership
is pursued, the information may also be relevant in designing a partnership agreement.
Instructions
Write a 3-4-page brief proposal that addresses the following:
What are the legal and ethical duties and responsibilities of general partnerships?
What are the legal and ethical duties and responsibilities of limited partnerships?
Which option (general partnership or limited partnership) would you select? Explain your
rationale. Include some of the potential benefits and disadvantages of each.
MODULE 05
Scenario
You have just earned a managerial role within the city government, specifically a local housing
authority. Your agency oversees a variety of housing and accommodation needs, and it maintains
relationships with both state and Federal government offices.
During your first week in your new position, you receive an urgent request from a well-known
advocacy group. The organization is concerned about the possibility of an eminent domain action
by the city, and it is seeking information, examples, and analysis regarding this topic.
Instructions
Locate an example of eminent domain and prepare a 2-3-page business report that responds to
the following points:
Provide a summary of what happened.
Regarding your example, do you think the action of taking the property is fair? Why or
why not?
In general, should the government be able to take your property through the process of
eminent domain? Why or why not?
DISCUSSION
Real property, personal property, and intellectual property laws each contain unique legal
requirements. For this activity, select one of these areas to research. Find a recent example
(within the past five years) that illustrates the impact of these laws on either consumers or
businesses. For example, you may wish to discuss current litigation arising from a homeowner’s
real estate transaction. Alternatively, you may wish to focus on a story involving a corporate
intellectual property dispute.

Scenario
You have recently been accepted as a new member of the board of directors for a state-wide
volunteer organization. To present your expertise and to establish your dedication, you offer to
develop a presentation about corporate governance for the organization’s annual orientation. The
executive manager is delighted at this prospect and requests that, along with laws or related
information, you provide recommendations for building and sustaining a strong, successful
company.
Instructions
Prepare a Microsoft PowerPoint presentation. Include speaker notes in the Notes pane on each
slide to explain the details of your presentation. Your presentation should include the items
below.

Introduction with an overview and purpose of the presentation
Three to five slides that:
Identify at least two (2) laws that might impact the business. Resources that may be
useful are the U.S. Department of Labor website, the U.S. Equal Employment
Opportunity Commission, and/or the U.S. Small Business Administration.
Explain what the laws mean and how they might specifically affect the organization.
Provide at least four (4) ideas or recommendations for the company to ensure both
current and ongoing compliance.

As our global economy expands, the significance of laws and governmental regulations for
businesses, industries, and consumers may also develop. Review the information available on the
U.S. Securities and Exchange Commission (SEC) website and use it to inform your discussion.
